End User License Agreement

This End User License Agreement (the “EULA”) governs the installation, access, execution, and use of any local system application, installer, update, downloadable file, license key, activation information, documentation, or related software material provided by iisacc (collectively, the “Software”). By installing, executing, accessing, downloading, copying, or otherwise using the Software, the User is deemed to have read, understood, and agreed to this EULA.

If the User does not agree to this EULA, the User must not install, execute, access, download, copy, retain, or use the Software.

License Grant and Permitted Scope

Subject to the User’s continued compliance with this EULA, iisacc grants the User a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software only for the User’s own lawful internal or personal purposes and only through the delivery, activation, and use methods expressly provided by iisacc.

Unless iisacc expressly states otherwise in a product-specific notice or separate written agreement, the license does not permit enterprise deployment, managed-service use, resale, rental, time-sharing, service bureau use, public hosting, use by multiple unrelated users, or use for the benefit of a third party. Any license quantity, device limit, user limit, term, product edition, access period, or feature restriction stated at purchase, delivery, activation, or inside the Software forms part of the permitted scope.

Ownership and Reserved Rights

The Software is protected by copyright, trade secret, trademark, unfair competition, and other intellectual property and proprietary rights. iisacc and its licensors retain all rights, title, and interests in and to the Software, including source code, object code, executable files, architecture, user interface, visual assets, documentation, product identity, delivery flow, license systems, and all related materials.

No ownership right is transferred to the User. No right is granted by implication, estoppel, exhaustion, purchase, download, possession, or use. All rights not expressly granted in this EULA are reserved by iisacc and the relevant rights holders.

Local System Responsibility

The Software may operate as a local system application on the User’s own device, operating system, storage, files, settings, workflows, and third-party software environment. The User is solely responsible for determining whether the Software is suitable for the User’s device, data, system configuration, security posture, intended use, and operational environment.

To the maximum extent permitted by applicable law, iisacc assumes no ex post responsibility or continuing responsibility for damage, loss, malfunction, incompatibility, data loss, interruption, security issue, user-created output, third-party conflict, system change, or any other consequence arising after delivery, installation, execution, configuration, or use of a local system application, except where liability cannot be excluded by mandatory law.

System Requirements, Backups, and User Data

The User is responsible for reviewing any stated system requirements, supported operating systems, dependencies, storage requirements, permissions, and known limitations before installing or using the Software. The User is also responsible for maintaining backups of files, projects, settings, local databases, exports, and any other data that may be opened, generated, modified, or affected while using the Software.

iisacc does not guarantee restoration, recovery, compatibility, migration, preservation, or continued readability of User data, files, settings, outputs, or project materials. The User should verify important results independently and retain original files or separate backups before using the Software in any workflow where loss or alteration of data may matter.

Updates, Versions, and Availability

iisacc may provide, modify, delay, suspend, or discontinue updates, patches, installers, versions, features, activation methods, compatibility support, documentation, download links, or related services at its discretion, unless a separate written agreement expressly states otherwise. iisacc does not guarantee that any particular version, feature, download link, installer, update, activation method, or support path will remain available permanently.

Updates may change, add, remove, replace, or disable features. Continued use of the Software after an update, reinstall, replacement installer, or revised delivery method may be conditioned on acceptance of the EULA and policies then in effect. The User is responsible for deciding whether to install updates and for preserving any environment needed to continue using older files or workflows.

Support and Maintenance

Support, maintenance, troubleshooting, bug fixes, updates, compatibility work, and documentation are provided only to the extent expressly stated by iisacc. Unless iisacc separately agrees otherwise, support is provided on a best-effort basis and does not guarantee a response within a particular time, resolution of all issues, continued support for any operating system or device, or addition of any requested feature.

The User must provide accurate, lawful, and reasonably complete information when requesting support. iisacc may refuse or limit support where the issue arises from unsupported environments, unauthorized modification, abnormal installation, license violation, third-party software or hardware, missing reproduction steps, abusive communication, or information that cannot reasonably be verified.

No Personal Information Collection or Storage

The Software is provided on the premise that it does not collect, transmit, store, or maintain personal information through iisacc-operated systems. The Software does not create an iisacc-managed account database, user profile database, telemetry profile, cloud storage space, or personal information repository for the purpose of identifying or tracking the User.

Any information that remains on the User’s local device, including files, settings, project data, caches, logs, exports, or operating-system-level records, is under the User’s control and responsibility unless iisacc expressly states otherwise in a separate product-specific notice.

License Keys, Delivery Links, and Access Credentials

The User is responsible for safeguarding license keys, activation information, delivery links, access links, installers, receipts, and other delivery or proof-of-purchase materials. Loss, deletion, exposure, forwarding, unauthorized disclosure, unauthorized use, or failure to retain such materials is the User’s responsibility unless mandatory law provides otherwise.

License keys, activation information, delivery links, and access credentials are not proof of ownership and do not create any transfer right. iisacc may suspend, revoke, invalidate, replace, or refuse to reissue any delivery or activation material where abuse, sharing, fraud, chargeback abuse, unauthorized resale, compromise, or violation of this EULA is suspected.

Prohibition on Copying and Redistribution

The Software is licensed, not sold. The User receives only a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable permission to use the Software within the scope expressly allowed by iisacc.

The User must not copy, reproduce, duplicate, clone, extract, mirror, upload, redistribute, resell, lend, lease, sublicense, publicly post, publicly transmit, or otherwise provide the Software or any part of it to any third party without iisacc’s prior written consent. This prohibition applies to the Software itself, installers, updates, executable files, compressed archives, license keys, activation information, documentation, product assets, and any other copy or derivative copy of the Software.

If unauthorized copying, reproduction, redistribution, or comparable conduct is detected, iisacc may, to the maximum extent permitted by applicable law, suspend or revoke the license, restrict access, seek injunctive relief, and claim compensation for losses, damages, investigation costs, enforcement costs, and other related harm.

Technical Restrictions and Integrity

The User must not remove, alter, obscure, disable, bypass, interfere with, or misrepresent any copyright notice, trademark notice, watermark, license notice, signature, hash, certificate, access-control mechanism, activation check, license verification, integrity check, security measure, update mechanism, or other protective or identifying feature included in or associated with the Software.

The User must not attempt to derive source code, internal structure, protocols, algorithms, file formats, activation logic, keys, signing methods, hidden resources, private interfaces, or non-public behavior of the Software except to the minimum extent that such restriction is expressly prohibited by mandatory law.

Sharing Copies and Download Links

The User must not share, publish, transfer, resell, expose, or otherwise make available any copy of the Software, any installer, any archive, any executable file, any license key, any activation information, or any download link or access link provided by iisacc.

Sharing a download link, access link, copied file, stored installer, backup copy, license key, activation material, or equivalent delivery means is treated as unauthorized redistribution even if the User does not charge money for it. Where such sharing causes or risks loss to iisacc, iisacc may claim compensation for the resulting loss and related enforcement costs to the maximum extent permitted by applicable law.

Open Source Components and Repositories

Where the Software or related materials include open source components, source code, examples, libraries, or repositories, those portions are governed by the license terms expressly stated in the corresponding repository, source file, notice file, or license document. The User must review and comply with the applicable open source license terms for those portions.

The presence of open source materials does not grant permission to reproduce, clone, modify, repackage, redistribute, or create a substitute version of any iisacc application as a whole, nor does it grant permission to use iisacc’s product identity, trademarks, service names, UI composition, proprietary assets, paid delivery flow, non-open-source materials, or commercial product arrangement. The User must not use open source materials as a means to transform, replicate, bypass, or replace the Software in a manner that infringes iisacc’s rights or evades this EULA.

Nothing in this EULA is intended to restrict rights that the User independently receives under a valid open source license for a specific open source component. Those rights apply only to the covered component and do not extend to proprietary iisacc materials, product identity, non-open-source code, commercial packaging, paid delivery mechanisms, or the Software as a whole unless the applicable license expressly requires that result.

Third-Party Materials and Services

The Software may interoperate with, depend on, display, call, or be affected by third-party software, operating systems, frameworks, drivers, libraries, stores, payment processors, network services, hardware, fonts, assets, or other materials. Third-party materials and services may be governed by their own terms, licenses, fees, privacy practices, update schedules, and availability limits.

iisacc is not responsible for third-party materials or services, including changes, failures, incompatibilities, vulnerabilities, removals, policy changes, pricing changes, data handling, or disputes arising from the User’s relationship with a third party, except where mandatory law provides otherwise.

High-Risk and Prohibited Uses

The Software is not designed, certified, warranted, or intended for high-risk environments where failure could lead to death, personal injury, serious property damage, emergency response failure, critical infrastructure failure, medical diagnosis or treatment error, aviation or transportation control failure, financial trading automation, legal decision automation, or other safety-critical or mission-critical consequences.

The User must not use the Software for unlawful, harmful, infringing, deceptive, abusive, security-invasive, or rights-violating purposes. The User is responsible for all outputs, decisions, workflows, publications, distributions, or actions made using the Software.

Abnormal Installation, Circumvention, and Misuse

The User must use the Software only through the ordinary installation, activation, access, and use methods expressly provided or approved by iisacc. The User must not install, access, execute, activate, unlock, modify, patch, emulate, bypass, reverse engineer, decompile, disassemble, tamper with, or use the Software through abnormal, unauthorized, deceptive, or circumvention-based methods.

The User must not use the Software outside its intended purpose, outside the permitted license scope, in violation of applicable law, in a manner that damages iisacc or any third party, or in a manner that defeats technical, contractual, or commercial restrictions applied by iisacc.

If the User engages in abnormal installation, unauthorized access, circumvention, misuse, use outside the intended purpose, unauthorized modification, unauthorized redistribution, or any similar conduct, iisacc may, to the maximum extent permitted by applicable law, claim damages, losses, investigation costs, enforcement costs, and other remedies. The User assumes all risk arising from such conduct, and iisacc shall be exempt from liability for any loss, damage, interruption, incompatibility, access restriction, data issue, license revocation, or other disadvantage suffered by the User as a result of that conduct, except where liability cannot be excluded by mandatory law.

Feedback

If the User submits ideas, suggestions, bug reports, feature requests, comments, screenshots, workflow descriptions, or other feedback relating to the Software, the User grants iisacc a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, create derivative works from, and otherwise exploit such feedback for product improvement, support, documentation, marketing, or business purposes, without compensation or obligation to the User.

The User must not submit feedback containing confidential information, personal information, trade secrets, third-party copyrighted materials, or materials the User is not authorized to provide.

Warranty Disclaimer

To the maximum extent permitted by applicable law, the Software is provided on an “as is” and “as available” basis. iisacc makes no express, implied, statutory, or other warranties regarding the Software, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, compatibility, security, uninterrupted operation, error-free operation, availability, data preservation, performance, or suitability for the User’s particular workflow.

Any documentation, examples, screenshots, descriptions, feature lists, support responses, roadmaps, or public statements are informational only and do not create a warranty, guarantee, service-level commitment, or obligation to deliver any particular result unless expressly stated in a separate written agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, iisacc shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, revenue, business opportunity, goodwill, reputation, data, files, projects, outputs, productivity, expected savings, or costs of substitute products or services, arising out of or relating to the Software or this EULA.

To the extent iisacc is found liable despite the disclaimers and limitations in this EULA, iisacc’s aggregate liability shall be limited to the amount actually paid by the User for the Software giving rise to the claim, unless mandatory law requires a different result. The User is responsible for mitigating any loss and for preserving evidence sufficient to prove any claim.

Termination

This EULA and the User’s license may terminate automatically or be suspended or revoked if the User violates this EULA, violates related policies, fails to comply with product-specific notices, abuses payment or refund processes, shares delivery materials, infringes rights, uses the Software unlawfully, or attempts to bypass technical or license restrictions.

Upon termination, suspension, revocation, refund, chargeback, or loss of authorization, the User must immediately stop using the Software and delete or destroy all copies, installers, archives, activation materials, documentation, and related materials in the User’s possession or control, except to the limited extent retention is required by mandatory law. Termination does not limit iisacc’s right to seek remedies for prior or continuing violations.

Changes to this EULA

iisacc may update this EULA from time to time by posting a revised version on the Site, including it with an update, or providing notice by another reasonable method. Where required by applicable law, iisacc will follow any mandatory notice or consent procedure.

The User’s continued installation, execution, access, download, update, or use of the Software after a revised EULA becomes effective constitutes acceptance of the revised EULA. If the User does not agree to the revised EULA, the User must stop using the Software.

Dispute Resolution and Governing Terms

Before making any formal claim, the User must contact iisacc through the contact method posted on the Site and provide reasonably specific information about the issue, the Software version, purchase or delivery evidence where relevant, the alleged harm, and the requested resolution, so that the parties may attempt to resolve the matter in good faith.

To the maximum extent permitted by applicable law, this EULA and disputes relating to the Software are governed by the laws and courts applicable under the Terms of Service or the Operator’s registered address or principal place of business. Nothing in this section limits mandatory consumer rights or mandatory jurisdiction rules that cannot be waived.

Severability, No Waiver, and Interpretation

If any provision of this EULA is held invalid, unlawful, or unenforceable, the remaining provisions remain in effect to the maximum extent permitted by applicable law, and the invalid provision shall be interpreted or replaced in a manner that most closely preserves its lawful purpose.

iisacc’s failure or delay in enforcing any provision of this EULA is not a waiver of that provision or any other right. Headings are for convenience only and do not limit the interpretation of the EULA.

Survival and Priority

The restrictions, ownership provisions, disclaimers, liability limitations, and enforcement rights in this EULA survive termination, revocation, deletion, refund, discontinued use, or loss of access to the Software.

This EULA applies together with the Terms of Service, License, Privacy Policy, Payments and Refund policy, product-specific notices, and any applicable open source license terms. If there is a conflict between this EULA and a product-specific license or mandatory open source license term for a specific component, the more specific term applies only to the relevant component or product scope.
